Mergers & Acquisitions

Move the deal forward.

We help buyers and sellers work through deal structure, diligence, negotiation and the documents that bring a transaction together. Our excellence in diligence, deal-making and execution on the buy-side and sell-side distinguishes us from firms of all sizes.

A sale or acquisition is often the most important transaction an owner will make. We keep the deal tied to your goals for price, timing, risk and what happens after closing, and coordinate with your accountants, lenders and advisors so the pieces come together for a successful outcome.

How we help

  • Acquisition and sale agreements
  • Legal diligence and transaction structure
  • Closing documents and coordination

Before we get started

When should we bring in counsel on a sale or acquisition?

Before signing a letter of intent. The LOI usually sets price, structure, exclusivity and key protections, and those terms are hard to change once agreed, even if they are technically non-binding. Early advice keeps you from conceding points you wish you had not or could have withheld until later in the negotiation.

What is the difference between an asset sale and a stock sale?

In an asset sale, the buyer acquires selected assets and assumed liabilities, and the seller keeps the company and any retained assets or liabilities. In a stock or equity sale, the buyer acquires the company itself, including its history and liabilities, except for any liabilities retained. The choice is an important one that affects the fundamentals of a deal, including taxes, third-party liabilities and how the buyer gets to operate going forward.
