Corporate Finance & Capital Raising
Structure the next stage of growth.
A financing is a business decision with lasting effects on ownership, dilution, control and flexibility. We help work through the leads and the terms so that capital partners are a good fit, capital supports the company's growth, and the key stakeholders realize an equitable outcome.
Whether the money comes from investors or a lender, the terms decide who controls the company and how much flexibility remains for the next round. We help you understand those terms in business language, negotiate the points that matter, and keep the process moving towards an effective closing.
How we help
- Equity and debt financing documents
- Investor terms and ownership considerations
- Financing diligence and closing coordination
Before we get started
What is the difference between equity and debt financing?
Equity financing sells an ownership stake in the company, so investors share in its upside and often gain some governance rights. Debt financing is borrowed money that must be repaid, usually with interest and covenants, but it does not dilute ownership. Many companies use both at different stages.
What should we have ready before raising capital?
Investors will review your corporate records, ownership and key contracts. Clean organizational documents, an accurate capitalization table, signed founder and employee agreements, and clear ownership of your intellectual property make diligence faster and strengthen your position.
